At Middle Georgia Estate Planning, the most common type of entity we are asked about is Georgia Limited Liability Companies. Limited Liability Companies, or LLCs, have become the most utilized entities for business organizations in the last few decades. Ownership of an LLC can be structured to provide for management of the LLC by one or more persons who may or may not have an ownership interest in the LLC. Because of the flexibility in structuring ownership and management, LLCs can also be great tools for estate planning.

Unlike some states, the costs of forming and maintaining the LLC are reasonable in Georgia. In Georgia, the Business Services Division of the Office of the Secretary of State handles LLC filing and annual registration. The Secretary of State of Georgia determines the availability of names and will reserve an available name for 30 days for $25. The filing fee paid to the Secretary of State is $100 unless the filer elects to expedite the filing. The annual registration fee paid to the Secretary of State is $50 yearly.
